File a Confirmation Statement (Annual Return)

Need help filing your annual confirmation statement with Companies House? Companies MadeSimple can take care of it for you quickly and efficiently — with express filing available in as little as 24 hours.

What Is a Confirmation Statement?

Previously known as the annual return, a confirmation statement is a legal requirement that must be submitted to Companies House every year. It confirms that your company information is accurate and up to date, or reports any changes made during the year.

This includes updates to:

  • Directors and company secretary

  • Registered office address

  • Shareholders and share capital

  • People with Significant Control (PSCs)

Your confirmation statement must be filed once every 12 months, with the first one due 12 months after your company’s incorporation date.

At Companies MadeSimple, we simplify the entire process with our confirmation statement services, removing the hassle and ensuring everything is submitted correctly and on time.

Confirmation Statement vs Annual Accounts

It’s important not to confuse a confirmation statement with annual accounts.

  • Confirmation Statement: Confirms company details and structure

  • Annual Accounts: Financial information, including profit and loss

Both are legally required to be filed with Companies House each year. If you’re unsure which filing is due, contact us and we’ll be happy to check for you.

What Information Is Required?

If you formed your company with us, we usually won’t need any additional details to file your confirmation statement. In the rare event that further information is required, we’ll contact you by email.

By using our Confirmation Statement Service, you remove the stress of annual compliance and can focus on running your business.

Express Confirmation Statement Filing

We also offer an express filing service, allowing us to submit your confirmation statement within 24 hours (excluding weekends and bank holidays). This is ideal for last-minute or urgent filings.

Important Notice

Although late filing does not result in a financial penalty, failing to file a confirmation statement is a criminal offence.

If Companies House does not receive your confirmation statement, they may assume your company is no longer trading and begin the process of striking it off the register, which can lead to company dissolution. For this reason, it’s important to file as soon as possible.

What is a Confirmation Statement?

A Confirmation Statement (Form CS01) is an annual summary of your company’s key information held by Companies House. It confirms whether your company details are correct or reports any changes made during the year, including:

  • Directors and company secretary (if appointed)

  • Registered office address

  • Shareholders and share capital

  • People with Significant Control (PSCs)

How often do I need to file a Confirmation Statement?

Every company must submit a confirmation statement to Companies House at least once every 12 months.

It must be filed within 14 days of:

  • The anniversary of your company’s incorporation, or

  • The “made-up date” of your last confirmation statement

You may file more than one confirmation statement during the year if needed.

Helpful tip: You can check your next filing date in your account with us or on the Companies House public register.

Can I use the Confirmation Statement service if I didn’t form my company with you?

Yes, our Confirmation Statement service is available even if you did not form your company through Company Formation MadeSimple.

You’ll simply need to import your company into our system, which is quick and straightforward. This can be done from your dashboard once logged in. You will need:

  • Your company number

  • Your Companies House WebFiling authentication code

The authentication code is sent to your registered office address. If you don’t have it, you can request a replacement from Companies House.

What happens if my Confirmation Statement is filed late?

If a confirmation statement is not filed on time, Companies House may begin the process of striking off your company.

Although there are no late filing penalties, failing to submit a confirmation statement can put your company at risk of being dissolved. To keep your company active, any overdue filings should be submitted as soon as possible.

What information can be updated in a Confirmation Statement?

When filing a confirmation statement, you can update:

  • Standard Industrial Classification (SIC) codes

  • Statement of capital

  • Trading status of shares

  • Exemption from keeping a PSC register

  • Shareholder details

For guidance on what changes can be made and when, please refer to the Companies House rules on updating a confirmation statement.

Can I update my company’s shareholding when filing a Confirmation Statement?

Yes, you can update your company’s shareholding as part of your annual confirmation statement. Our service allows up to three changes per filing, including shareholder information and share allocations.

If you require more than three changes, our Company Secretarial Service allows up to 10 changes per year, along with additional ongoing support.
