What is the process for appointing a new director?

Once we receive your completed instruction form, our Company Secretarial Team will invite the new director to complete a quick online ID check. After the ID check is approved, we submit the director’s details to Companies House. Companies House will then email the new director their unique personal code, which must be provided to us to file the appointment. Typically, Companies House confirms the director’s appointment within 24 working hours.

Can anyone be a director?

To be appointed as a company director, an individual must:

  • Be at least 16 years old

  • Not be an undischarged bankrupt

  • Not be a disqualified director

How many directors does a limited company require?

A private limited company must have at least one human (natural person) director. While another limited company can also be appointed as a director, there must always be at least one human director. There is no legal maximum on the number of directors a company can have.

Does the director need to be a PSC and shareholder also?

Directors are not required to be shareholders or persons with significant control (PSC). However, if existing shareholders wish to offer shares to a director, the director must also be added as a shareholder, and as a PSC if they hold 25% or more of the company’s shares.
